Understand how to invest directly in an organization, and what you receive.
In short
You choose an organization you know and believe in, and you invest in it, directly. If it grows, your share grows with it. Semilla is the witness to your agreement, not the intermediary.
First, a few words
- Investing in an organization means providing it with money today in exchange for a share of what it will become.
- A convertible agreement: you provide money now, and this agreement later converts into shares of the organization, on terms set from the start.
- The round: a period during which an organization receives investments, at the same valuation for everyone.
How it works
- You read the organization's profile: what it does, its stage, its figures, its support from Momentum.
- You sign your agreement directly with it. What you receive depends on the organization: standard shares, a security recorded on the blockchain, or another form. Each profile states it clearly.
- You have 24 hours to reflect before your signature binds you.
- Semilla dates the agreement, seals it and keeps the proof. Each year, you receive information about the organization.
What the agreement says
- The round's entry valuation is set in advance, the same for everyone.
- Your share is not diluted by other issuances.
- Your securities carry no voting rights: governance remains with the organization and its purpose.
- In case of difficulty, you are paid after the lenders of the bond fund.
The stage decides
An organization does not choose its financing: its stage decides, to protect those who help it get there.
