Semilla
White Paper
An economic system whose principal Asset appreciates mechanically as the organizations and the human beings that constitute it prosper.
Abstract
The making of an extractive society is not an anomaly of modern capitalism. It is the oldest mode of organization known to humanity. As old as agriculture, writing, and the first seed stored in the granary of a Sumerian temple. The first written documents of humanity are not poems. They are ledgers of debt. Wherever power concentrates, the same logic emerges: whoever masters knowledge masters the flows. Money is the most refined instrument of this millennia-old pattern. Established through trust in tangibility, manipulated through the gradual loss of that tangibility. What changes from empire to empire is not the mechanism. It is the flag. The concentration remains. Semilla is not the answer to the global system. It demonstrates that an economy can be organized differently at the scale of a defined territory.
01
Introduction
1.1 · Extraction as a historical constant
Some ten thousand years ago, agriculture radically transforms human organization. Hunter-gatherer societies cannot accumulate more than they can carry. Agriculture creates surplus. Surplus creates hierarchy. Hierarchy creates the first form of extractive organization.
In Sumer, around 3500 BCE, temples are at once religious centers, collective granaries, and accounting offices. The priests control writing, and therefore contracts, and therefore debts, and therefore flows. Babylon refines this system: the Code of Hammurabi, around 1750 BCE, regulates interest rates. It is the first known banking system. This principle is seven thousand years old. It has not changed.
1.2 · The invariant monetary cycle
Money has obeyed an invariant cycle since its origins. It is first anchored in something tangible: grain, precious metals, gold. That tangibility founds trust. Once trust is established, control of money becomes control of power. And power, invariably, begins to dilute the tangible anchor to finance its wars, its debts, its expansion. When trust gives way, the empire gives way with it.
Rome clips the denarius, from 90% silver to 5% in three centuries. The empire collapses. Spain dilutes its precious metals. Its power evaporates. Great Britain suspends gold convertibility in 1931. The British Empire enters dissolution. Bretton Woods, in 1944, places the dollar at the top, convertible into gold. Nixon, in 1971, suspends that convertibility unilaterally. The dollar is no longer backed by anything tangible. The clock starts again.
1.3 · A mechanism remains
What the history of empires conceals beneath the appearance of succession is a continuity. Financial interests do not fall with the empires they financed. They have already positioned their capital in the next system.
The Venetian bankers of the fourteenth century pass their model on to the great houses of Amsterdam. The same networks help create the Bank of England in 1694. In November 1910, on Jekyll Island, a discreet meeting brings together representatives of the leading American financial dynasties, among them the Rockefeller and Morgan families, to draft the architecture of the Federal Reserve. In 1913, the Federal Reserve Act is signed. The event is documented, notably by Frank Vanderlip, one of the participants, who would confirm it in 1935 in the Saturday Evening Post.
1.4 · The structural consequences
Since the decoupling of 1971, the purchasing power of fiat currencies has eroded mechanically. Inflation is not a cyclical accident; it is the invisible tax that permanently transfers wealth from savers to the holders of financial assets.
Housing, health, education, and food have been folded into instruments that generate abstract returns without creating real value. No community truly controls the flows that determine its survival.
1.5 · The beginning of an answer
Bitcoin asked the right question in 2008: can value be created without creation ex nihilo, without centralized control? The technical answer is yes. The economic answer remains incomplete.
In the absence of governance, the protocol is controlled by those who accumulate the most. The generation of assets that followed reproduced the fundamental error: creating speculative value on top of speculative value. A market capitalization is not an asset. A protocol is not an economy.
1.6 · A new cycle or a new era?
The expanded BRICS now represent more than half of world GDP in purchasing power parity. They are developing their own payment systems and their own settlement mechanisms. The dollar's share of world reserves is declining. The Bretton Woods architecture is visibly cracking.
On May 13, 2026, an American delegation without precedent in the history of trade diplomacy lands in Beijing, the CEOs of the largest banks, the largest investment funds, the largest technology platforms in the world, to negotiate with China the terms of the world to come.
Are the same financial interests that built the dominant system already building its succession? Is this apparent transfer of power between blocs a bilateral change of hands, or have the same interests already positioned their capital on both sides of the shift? We will not know for years.

Semilla
Incorporated on February 26, 2025, in Costa Rica, Semilla Impact Token S.R.L. takes direct stakes in organizations that meet fundamental human needs. These stakes generate real profits. A share of these profits is allocated to buying back the Asset, then to its permanent destruction.
The supply contracts. The value of each remaining asset rises mechanically. This is not a promise. It is an algorithmic rule, executed and verifiable.
Each issuance of Assets is divided among the functions of the system: the organizations and their investments, resilience, operations, the participants. This allocation principle is perpetual. Its proportion evolves with the maturity of the system. What is fixed is not the ratio. It is the direction: every contribution nourishes growth, resilience, and the participants at the same time.
Semilla is designed so that the wealth produced by its organizations is distributed across the whole rather than concentrated. This is not an immediate state. It is the direction in which the system tends as it matures. Its logic is designed so that no actor can extract without contributing.
03
The Three Dimensions
The deployment of the system takes place within three mutually constitutive dimensions. They are not separate functions. Holding them in conscious relation is the key to an evolving system. Letting them become subordinate to one another produces extraction.
The Territory
The space that carries the organization: the soil, the living world, the resources, the generations to come. The system owes itself to the territory above all, and cannot treat it as a resource to extract without eventually destroying itself. The territory is not a context. It is a constitutive dimension of the purpose.
Semilla demonstrates from a specific territory. This choice answers precise criteria: long-term institutional stability, a size that allows both a diversified economy and measurable change, abundance of natural resources, neutrality in the geopolitical shift now under way.
Costa Rica, a country of five million inhabitants, meets these criteria. A continental lock between the two Americas, bordered by two oceans, its 1949 Constitution abolished the army and protected the environment as a fundamental right. It is home to 5% of the world's biodiversity on 0.03% of the Earth's land surface. More than 98% of its energy is renewable. Its water resources are among the most abundant on the planet. Its ecological trajectory is one of expansion; here nature reclaims its rights as soon as one stops actively destroying it.
A model proven on such a territory can be exported. A model proven in a laboratory cannot.
The Human
The human being is a natural being endowed with consciousness, the only one able to form a hypothesis about its own action before carrying it out, to test it, to draw knowledge from it, and to pass it on. This is what founds its unique responsibility within the system.
Human beings create organizations that can outlive them. A company, a foundation, a network, a currency: these structures carry their consciousness beyond their own lifetime. The individual is temporal. What the individual consciously builds can last for generations.
But this capacity is not enough on its own. One can only care for what one perceives. The architecture of the system, its five layers, is designed precisely so that each participant perceives the overall state of the network and locates their own contribution within that whole. Perception makes care possible. And care, exercised collectively toward the other participants and toward the generations to come, is what keeps the system alive.
The Economy
The laws that govern what circulates in the living space. Not accumulation. Circulation. Resources come in, are transformed, nourish, return. The waste of one activity is the resource of another. The wealth produced flows outward rather than concentrating.
Organizations exchange directly what one produces in surplus and what the other needs. When several organizations share the same fundamental need, a common structure emerges naturally: an organization for mobility, energy, or health, born of needs identified collectively. These Commons serve the network first, then meet outside demand. The profits return to the cycle.
The Semilla Asset is the barometer of this economic health: it appreciates when the whole prospers and contracts when it stagnates. It measures what GDP does not.
04
The Asset
The SEM Asset is the point of alignment of the system. Every stakeholder, in their singularity, shares a common interest: that the Asset appreciate. And it appreciates when the whole prospers. Not when one part accumulates at the expense of the others. This is what sets the SEM Asset apart from everything that exists.
The SEM Asset is at once the financing mechanism of the system, the indicator of real collective prosperity, and the medium of exchange that meets fundamental needs. It is also the immutable record of value and contribution: every contribution, every exchange, every act of co-creation is written into the chain. The Asset is the history of the system made verifiable and perpetual.
The supply of the Asset is capped at 108,000,000 SEM and decreasing. A share of the wealth generated is returned to the system in the form of a reduction of the active supply. The supply contracts. The value of each remaining asset rises mechanically. Where fiat money erodes through creation ex nihilo, the Semilla Asset appreciates through organic contraction. One measures the decline of the dominant system. The other measures the health of the emerging system.
The SEM Asset is designed to circulate. It is accepted as a means of payment and exchange between users, between organizations, and between any entities of the network. Momentum is its first concrete demonstration. As the constellation grows, its use cases extend to all participants. It is not an asset to hold. It is a currency to bring to life.
Entry into the system is not only financial. It is the recognition of every kind of contribution: financial, natural, intellectual, operational. Each recognized contribution creates new Assets. The identity of each contributor is known and classified according to their participation, their needs, and their interests. The algorithmic market allows the natural regulation of flows and reflects the market value of the Asset. It operates without delegation to an external marketplace and evolves with the maturity of the system.
The SEM Asset may fall under the classification of a security in certain jurisdictions. This possibility is built into the legal structuring of the system and does not alter its fundamental principles. Access to the system requires a validated proof of identity. Semilla is not an anonymous market. Each participant is identified in their singularity and in their place within the system.
The technological form of the infrastructure that carries the Asset evolves with needs and possibilities. What does not change: the value chain is perpetual.
05
The Architecture
The architecture of Semilla rests on five layers, without hierarchical relation, each of which processes information in an irreplaceable way. Together they form the complete architecture through which a system creates, records, processes, transmits, and gives rise to intelligence.
Infrastructure
Every living organization rests first on the ability to record, certify, and preserve information. This layer encompasses every kind of register: technological, such as distributed protocols and smart contracts; institutional, such as legal entities and notarial deeds; documentary, such as contracts and archives. Their interconnection forms the immutable foundation on which the system rests. It is not only a digital infrastructure. It is the architecture of information in its entirety. The first smart contract holding the Genesis registers was deployed on April 1, 2025, on the Avalanche blockchain.
Operations
If infrastructure records, operations set things in motion. This layer manages information in real time: the day-to-day financial, human, and decision flows. Every organization in the network has integrated, interconnected tools. Every movement of value is traceable. It is the living nervous system of the network.
Knowledge
Knowledge is what information becomes when it is understood, structured, and passed on over time. This layer builds the distributed memory of the system: practices, methodologies, architectures, decisions. It does not belong to an individual. It belongs to the system. This White Paper is its first fixed expression. A system whose memory is distributed cannot be beheaded.
Communication
Communication is what allows information to cross the boundaries between organizations and across space. Coordination platforms, collaborative tools, interfaces between entities. This layer allows decisions to circulate and similar ecosystems to recognize and connect with one another.
Intelligence
Collective intelligence is the ability of each stakeholder to perceive the overall state of the system in real time and to locate their own contribution within that whole. It is the opposite of pyramidal panopticism, where only the top sees the whole.
When Infrastructure records, Operations circulate, Knowledge structures, and Communication connects, the fifth layer allows each participant to perceive the whole and position themselves accordingly. The system regulates itself through the shared perception of all its members. This is the horizon toward which the first four layers tend. When this collective intelligence is effective, the conditions are met for a perpetual Foundation to take over from the founder and embody the purpose of the system over time.
06
Momentum
Incorporated on January 20, 2025, in Costa Rica, Momentum is the operational accelerator of the system. Its mission is to enable each organization in the network to structure itself, to grow, and to assert itself with full sovereignty. It is not a service provider. It is a living, collaborative ecosystem where power and value are distributed according to each one's real contribution.
It is also the research and development center of the system. Each new function developed in the interest of a client always gives more capability to Semilla itself. Momentum makes it possible to master the implementation procedures of the Semilla system, and it serves as its administrative management center for the duration of its incubation.
Momentum is meant to replicate and interconnect throughout the world, independently of the deployment of Semilla or of any other system. Its governance is independent of Semilla's. Its logic of growth is its own.
·
Conclusion
Semilla does not reinvent. It draws on observations and principles identified in living systems that endure, and seeks to apply them consciously to economic organization. This document is their first public formulation. It is addressed to those who recognize something right in this architecture, and who have the capacity, the alignment, and the will to contribute to its demonstration.
